Analog Devices拟收购Alif Semiconductor，导入AI原生处理平台，推动因应下一代现实世界系统的实体智能发展

Analog Devices, Inc. (Nasdaq: ADI)与Alif Semiconductor宣布，双方已达成最终协定，ADI将以13.5亿美元全现金交易收购Alif。

人工智能正迈入新阶段：模型不再局限于解读文本与图像，而是开始理解语境并与实体世界互动。这个转变要求系统能够基于运动、声音、振动、无线电波及热力学等信号进行推理，并在严苛的功耗、时延、安全性及可靠性约束下实现本地运行。而这正是ADI对「实体智能」的解读。

Alif正凭藉一个由高能效AI原生微控制器与融合处理器构成的精密平台重新定义边缘智能。平台采用异构架构，支持实时传感器融合、低时延推理和端侧AI，为各类具有严苛要求的实体系统注入高端智能。

将ADI在感知、信号处理、电源、连接及应用软件领域的优势与Alif前缘数码平台相结合，有助于加速推出更完备的实体智能解决方案。ADI与Alif的携手，将协助客户因应更广泛、更复杂的系统级挑战。

交易详情

根据双方董事会已批准的协定条款，ADI将向Alif股东支付13.5亿美元的前期现金对价，具体以最终协定条款为准。此外，ADI还可能支付最高2亿美元的额外或有对价。该交易预计将于2026年底前完成，具体取决于惯常的交割条件，以及修订版《1976年哈特-斯科特-罗迪诺反垄断改进法案》(Hart-Scott-Rodino Antitrust Improvements Act of 1976) 规定的适用等待期（及其任何延期期限）届满。
